1. Agreement to Terms

By accessing or using the HIPAANinja platform (“Service”), provided by Telehealth.org (“we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you are not authorized to access or use the Service.

The Service is designed to help you manage your HIPAA compliance processes, but it is strictly prohibited from collecting, storing, processing, or transmitting Protected Health Information (“PHI”) as defined under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”). You must not upload, input, or store any PHI or sensitive personal data, including information that directly identifies or could reasonably identify an individual.

2. Description of Service

HIPAANinja is a free educational platform that supports your internal HIPAA compliance efforts. It includes tools such as risk assessment frameworks, remediation guidance, and document templates. The Service is provided as a self-guided resource and does not create a Business Associate relationship with users. Telehealth.org does not enter into Business Associate Agreements (BAAs) for the HIPAANinja Service. Users are solely responsible for their compliance obligations, and the Service should not be used to manage actual PHI.

3. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.

4. No Legal Advice

The Service provides general tools and information to support HIPAA compliance awareness but does not constitute legal advice. Use of the Service does not establish an attorney-client relationship. Compliance requirements vary by organization, and you should consult qualified legal professionals for guidance specific to your circumstances.

5. User Accounts

You must provide accurate and complete information when creating an account and are responsible for maintaining the security of your credentials. Telehealth.org is not liable for any loss or damage resulting from your failure to safeguard your account.

6. Your Content

You retain ownership of any materials you upload to the Service (“User Content”). This may include descriptions of systems, risk inputs, or remediation plans—but must not include PHI or sensitive personal data. By submitting content, you grant Telehealth.org a limited license to store and process it solely to provide the Service. See our Privacy Policy for details on how we handle non-PHI data.

7. Accuracy of Information and Tool Output

The Service provides assessments and recommendations based on user input and Telehealth.org’s understanding of HIPAA. While we aim for accuracy, we do not guarantee that tool output or interpretations are complete, current, or legally sufficient. Regulatory requirements are complex and subject to change. You are solely responsible for verifying and adapting any guidance to your own legal and operational context.

8. No Warranty

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Telehealth.org shall not be liable for any direct, indirect, incidental, consequential, or punitive damages—including but not limited to regulatory penalties, legal fees, or data losses—arising from use or inability to use the Service. For free services, our total liability shall not exceed fifty U.S. dollars ($50.00).

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by updating the “Last Updated” date and posting revised Terms on the Service. Continued use after changes constitutes your acceptance.

11. Intellectual Property

All content, features, and functionality of the Service—including software, design, and text—are the property of Telehealth.org and protected by intellectual property laws.

12. Prohibited Uses

You may not use the Service:

  • In violation of any applicable law or regulation;
  • To input, upload, or store PHI or personal identifiers;
  • To bypass security features;
  • To interfere with others’ use of the Service;
  • To upload malicious code, viruses, or malware.

13. User Contributions

If the Service allows content sharing (e.g., in forums or templates), you are responsible for your contributions. By submitting content, you affirm that:

  • You own or control all rights to it;
  • It does not include PHI or sensitive data;
  • It is accurate and lawful;
  • It does not infringe the rights of others or violate these Terms.

14. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason. Upon termination, your right to use the Service ends immediately. You may request account deletion by contacting us.

15. Third-Party Services

The Service may link to third-party sites or tools not owned or controlled by Telehealth.org. We are not responsible for their content, privacy practices, or availability.

16. Indemnification

You agree to indemnify and hold harmless Telehealth.org, its affiliates, and their personnel from any claims, damages, losses, or legal expenses arising from your use of the Service, including violations of HIPAA, these Terms, or any third-party rights.

17. Severability

If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary, and the remainder shall remain in full force and effect.

18. Entire Agreement

These Terms represent the full agreement between you and Telehealth.org concerning the Service and supersede any prior understandings.
